1. About these Terms

These Website Terms of Use and Online Sale (Terms) apply when a person visits https://qualiseed.zohoecommerce.com/, uses a related Qualiseed digital channel, requests a quote or buys goods from Qualiseed Ltd. “Customer” means the person or organisation using the service; “consumer” has the meaning given by applicable Ghanaian law; and “goods” includes seed and any related item sold by Qualiseed.

By submitting an order, the customer confirms that the customer has read and accepted these Terms and the policies incorporated by reference. A person ordering for a business or institution confirms authority to bind it.

2. Supplier information

Qualiseed Ltd is a Ghanaian private company operating from Ogbojo–Madina, Accra, Ghana. Contact details are hello@qualiseed.com and +233 53 878 8655. The company registration number and current office-bearer names must be added to the Website’s Supplier Legal Information Notice before publication, as required for electronic transactions.

3. Eligibility and accounts

A customer must provide accurate contact, billing and delivery information and promptly correct any error.
A customer under 18 should use the Website only with the involvement of a parent or legal guardian.
Where account features are enabled, the customer is responsible for keeping login credentials confidential and notifying Qualiseed of suspected unauthorised use.
Qualiseed may suspend an account reasonably suspected of fraud, abuse, security compromise or unlawful activity, while preserving lawful customer rights.

4. Product information

Qualiseed aims to provide accurate product names, images, descriptions, pack sizes, variety types, maturity ranges, planting guides, germination information and prices. Images may show packaging that is later updated by a breeder or supplier. The sealed packet label, lot information and manufacturer or breeder data sheet prevail where they contain product-specific instructions or regulatory information.

Agronomic figures are planning guides unless expressly stated as a product-specific guarantee. Yield, maturity, disease tolerance and field performance depend on conditions outside Qualiseed’s control. The Seed Product Quality, Germination and Agronomic Disclaimer applies.

5. Prices, stock and corrections

Prices are in Ghana cedis (GHS) unless another currency is clearly displayed.
The total payable amount, including delivery and compulsory charges, will be shown before order submission.
Stock displays are subject to final verification. Negative inventory, zero-price listings or obvious typographical errors do not create a right to purchase at an unintended price.
If a material price or description error is found after an order, Qualiseed will contact the customer for confirmation or cancel and refund the affected item.
Promotional prices apply only during the stated period and subject to the applicable promotion terms.

6. How the contract is formed

The Website listing is an invitation to place an order, not an unconditional offer by Qualiseed.
Before submitting, the customer must be able to review the cart, correct errors and withdraw.
An automated acknowledgement confirms receipt of the order but does not necessarily confirm acceptance.
A contract is formed when Qualiseed sends a written acceptance or dispatch confirmation, or makes the goods available for collection.
Qualiseed may reject or cancel an order before acceptance for genuine stock, pricing, verification, legal, delivery or fraud-prevention reasons. Any captured payment for a cancelled item will be refunded.

7. Payment

The customer must use a payment method the customer is authorised to use. Online card, mobile money, transfer and cash-on-delivery options are available only where displayed or expressly confirmed. Payments are subject to the Payment and Pricing Policy and to the rules of the relevant regulated payment provider.

8. Delivery and transfer of risk

Dispatch and delivery are governed by the Shipping and Delivery Policy. Delivery estimates are service targets rather than guarantees unless a written contract states otherwise. Risk passes when the goods are delivered to the customer or an authorised recipient, subject to applicable law. Title passes after full payment, unless the law requires otherwise.

9. Returns, cancellations and statutory rights

The Returns, Refunds, Exchanges and Cancellations Policy applies. A blanket “non-returnable” label does not exclude remedies for goods that are wrong, damaged, expired, defective, counterfeit, misdescribed or otherwise non-conforming, and does not exclude any mandatory grace-period or sales-law right.

10. Customer responsibilities for seed

check crop, variety, pack size, lot, treatment status and expiry or test information before use;
keep seed sealed and store it in the cool, dry and secure conditions stated on the packet;
follow the packet label, breeder guidance and locally appropriate agronomic advice;
do not use treated seed as food or feed and keep it away from children and animals;
retain the packet, label, batch or lot number, invoice and a reasonable sample if making a quality claim; and
do not alter, relabel, repackage or sell seed in a misleading manner.

11. Website licence and intellectual property

Qualiseed and its licensors own or lawfully use the Website design, trade names, logos, product copy, photographs, guides and other content. The customer receives a limited, revocable, non-transferable licence to use the Website for lawful personal or business purchasing. No content may be copied, scraped, republished, sold, used to train a competing database or used to misrepresent affiliation without written permission or another lawful basis.

12. Reviews and customer content

A customer submitting a review, image or comment confirms it is honest, lawful and does not infringe another person’s rights or reveal another person’s private information. Qualiseed may moderate unlawful, abusive, irrelevant, fraudulent or unsafe content, but will not suppress a genuine negative review merely because it is critical.

13. Prohibited use

introducing malware, attempting unauthorised access or interfering with Website security;
using false identity, payment, delivery or tax information;
reselling counterfeit, relabelled, expired or improperly stored seed as Qualiseed stock;
automated scraping that burdens the service or violates rights;
using the Website for unlawful, deceptive or abusive conduct; or
circumventing quantity limits, promotion rules or fraud controls.

14. Third-party services

The Website may rely on hosting, commerce, payment, analytics, messaging and delivery providers. Their services may be subject to separate terms. Qualiseed remains responsible for obligations that Ghanaian law places on Qualiseed and will not use third-party terms to remove non-excludable customer rights.

15. Availability and changes

Qualiseed may maintain, improve, suspend or change Website features. Material changes to these Terms will be dated and published before they apply to new transactions. Terms accepted for an existing order will not be changed retrospectively to the customer’s disadvantage, except where the law requires.

16. Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded, including statutory sale obligations, fraud, wilful misconduct or liability arising from failure to use a sufficiently secure payment system where the law imposes it.

To the extent permitted by law, Qualiseed is not liable for indirect or consequential field losses caused by weather, soil condition, irrigation, pest pressure, chemical misuse, storage after delivery, planting practice or other matters outside its reasonable control. For a business customer, any lawful aggregate contractual cap will be the amount paid for the affected goods; this cap does not apply where prohibited by law or where a specific written contract provides a higher remedy.

17. Force majeure

Qualiseed is not responsible for delay caused by events beyond reasonable control, including severe weather, road closure, carrier disruption, civil disturbance, epidemic, regulatory action, communications failure or supplier interruption. Qualiseed will take reasonable steps to reduce the effect, notify affected customers and provide refunds or alternatives where required by law.

18. Complaints and disputes

Customers should first use the Complaints Handling and Dispute Resolution Policy. The parties will try good-faith negotiation and may agree to mediation under Ghana’s Alternative Dispute Resolution Act, 2010 (Act 798). A customer may still approach a competent regulator or court, and no clause removes a mandatory remedy.

19. Governing law

These Terms and electronic sales are governed by the laws of Ghana. The courts of Ghana have jurisdiction, subject to any valid and separately agreed dispute-resolution process and any mandatory consumer rule.

20. General

If a provision is invalid, the remainder continues to apply. A delay in enforcing a right is not a waiver. Qualiseed may assign a contract as part of a lawful business transfer if customer rights are not reduced; a customer may not assign an order without consent where this would materially affect performance.
